Purpose of the role

The Office of the Secretary General (OSG) acts as the liaison between the Bank’s Management and its Board of Governors and Board of Directors in order to resolve institutional and governance-related issues, to ensure the key governance organs of the Bank function properly and to facilitate formal decision-making processes of the EBRD.

The Associate supports the Principals, Associate Director and senior management on matters relating to the work of the Board of Directors and the Board of Governors. The core role is to lead and take responsibility for the management, oversight and delivery of Board meetings (on rotation) and Board Workshops and Information Sessions. The Associate may also be assigned as the lead expert on specific OSG or corporate governance related matters.

Background

The EBRD is a project based institution with all proposals requiring approval of the Board of Directors at fortnightly meetings, and prior discussion of policies and other items at Committees of the Board, workshops and other fora. The Board of Directors comprises 23 Directors (as well as Alternate Directors and Advisers) who are elected by the Board of Governors, and represent either one or a number of countries or members in 23 Constituency Offices which are resident and hosted in the Bank’s headquarters. Key internal and external networks include the President, members of senior management, Board Directors, shareholders, and senior management of secretariat functions in other international financial institutions. This governance structure determines the scope and intensity of responsibility of the Associate, bringing them into frequent contact with members of the Board and various teams throughout the Bank.

The Associate is a member of the Board & Institutional Affairs (BIA) team, which provides the Corporate Secretariat functions to the key decision-making organs of the Bank – the Board of Directors and the Board of Governors. In doing this, BIA works in close collaboration with the Board of Directors, Board of Governors, Executive Committee members and senior management in order to facilitate good working relationships and help smooth the decision-making processes of the EBRD

The Associate takes lead responsibility for delivering the Board Workshops and Board Information Sessions, which are chaired by a member of the Bank’s Senior management and attended by Board Directors, Alternates and Advisers.

The Associate pulls together disparate views, giving a coherent structure to the report of the meetings so that the core elements of the debate can be taken forward. This requires a clear understanding of the issues being discussed, and of the view points and concerns of the Directors involved in the discussion. Following Workshops and Information Sessions, the Associate briefs the President and the Executive Committee on the outcomes of the meetings, which can have strategic, operational, governance or other implications on the Bank. This is a major interface between senior management and the Board Committee

Facts/Scale

The Associate has considerable autonomy in handling and facilitating the Board Workshops and Information Sessions. The Associate also takes the lead on a number of specific projects to deliver a continuous improvement to the Bank’s decision making.

The work of the Associate can impact significantly on teams throughout the Bank, and they have daily interactions with a wide range of senior management and staff.

Accountabilities and Responsibilities:

  • Responsible for the management, oversight, delivery and follow-up of the Board Workshops and Information Sessions, as well as the full Board of Director meetings (on rotation), in order to ensure that the business and mandate of the Bank is delivered in an efficient, effective and legitimate way. These are often complex and politically sensitive topics that required a high-level of sensitive and diplomatic interaction with Board Directors, ExCom members and other senior stakeholders.
  • Work with support staff to handle and facilitate the relationship between senior management, the relevant banking teams and the Board in relation to Workshops and Information Sessions, Briefing Sessions, Board Meetings and other Board related sessions, and be accountable for their effective functioning, including:

    • Using their knowledge of the Board in providing advice and guidance to the Senior Manager chairing the meeting;
    • Providing advice and support during meetings;
    • Preparing, reviewing, approving and securing agreement on the official record of the Board Workshops and Board Meetings;
    • Following-up on outstanding issues;
    • Advising and briefing senior management (as appropriate) on strategic, political and policy outcomes to enable the Bank to anticipate change and protect the interests of all stakeholders.
  • Is the knowledge expert on certain aspects of EBRD Governance as assigned by the Associate Director (for example membership). Works with virtual-teams of professionals from across the Bank to provide professional advice and briefing as required.
  • Supports the Principals in their roles as Committee Secretariat as required.
  • Drives the development of new processes and procedures to deliver improvements and innovations in the way BIA, OSG and the Board of Directors more broadly delivers its core aims of liaison between shareholders and management and the facilitation of smooth and compliant corporate decision making.
  • Undertakes specific projects, research or analysis on governance topics and provides advice and comment on Board related proposals as requested by the Associate Director or OSG senior management; and may be called to assist BIA colleagues on an ad-hoc basis with Board Committee meetings
  • Assists in the design and delivery of the Board Induction programme, liaising closely with Board Members and senior management
  • Maintains the information services under OSG governance, including BOLDnet:
  • Ensures the services’ smooth working, interaction and communication with Board Directors, shareholders and officials in capitals;
  • Assist in the ongoing maintenance of these web services;
  • Assist with the management of new users;
  • Be back-up point of contact for the external contractor who is supporting the Lotus Domino environment in EBRD (Polymorph);
  • Assist in ensuring that all Lotus Domino Applications are migrated off Lotus Domino so that the Lotus servers can be shut down.
